Payment Terms and Billing

Intellectual Property
Ownership of work product is determined as follows:
- Upon full payment, clients receive ownership of final deliverables created specifically for them
- ProperlyPR retains ownership of proprietary tools, templates, and methodologies used in service delivery
- We reserve the right to showcase completed work in our portfolio unless otherwise agreed in writing
- Client-provided materials remain the property of the client
Any pre-existing intellectual property brought to a project remains with its original owner.
Confidentiality
We take confidentiality seriously:
- We will not disclose confidential business information shared during our engagement to third parties
- Confidential information includes business strategies, financial data, customer lists, and proprietary processes
- This obligation does not apply to information that becomes publicly available or was already known to us

Limitation of Liability

- Clients are responsible for ensuring their use of deliverables complies with applicable laws
We provide services in good faith and work collaboratively with clients to achieve the best possible results.
Termination
Either party may terminate services under the following conditions:
- With written notice as specified in your service agreement (typically 30 days)
- Immediately, if either party materially breaches these terms
- Upon completion of all agreed-upon deliverables
Upon termination, clients are responsible for payment of all work completed to date. We will provide reasonable assistance in transitioning services if requested.
Governing Law
These Terms of Service are governed by and construed in accordance with the laws of the United States. Any disputes arising from these terms or our services will be resolved through good-faith negotiation. If resolution cannot be reached, disputes will be settled through binding arbitration or in the courts of competent jurisdiction.
